GENERAL TERMS AND CONDITIONS OF SALE IN STORE

ARTICLE 1. OUR COMMERCIAL POLICY

The brand La bouche rouge Paris belongs to BEAUTY BRANDS  GLOBAL (FZE). a company organized and existing under the laws of the United Arab Emirates with address at PO BOX. 9640 T5-102 Saif-Zone, Sharjah United Arab Emirates.   BEAUTY BRANDS GLOBAL FRANCE,

A simplified joint-stock company(Société à associé unique) with a share capital of 10,000.00 EUROS euros, whose registered office is located at 10 rue de la Paix 75002 Paris, registered with the Paris Trade and Companies Register
under number 980 753 107 R.C.S. Paris (BBGF) is the licensee of BEAUTY BRANDS GLOBAL (FZE) in relation to the brand La bouche rouge Paris, BBGF sells La bouche rouge Paris  products in its stores by carrying out its own activity as a merchant exclusively with regard to consumers, end customers, hereinafter referred to as "Customers".

The Client is defined as any natural person who does not operate forprofessional purposes or related to a
business activity. In view of thecommercial policy described above, BBGF  reserves the right not to process orders from subjects other than the Client thus defined above or orders that do not comply with its commercial policy.

These General Terms and Conditions
of Sale (hereinafter "T&Cs") exclusively govern any direct sale
made in the ephemeral store under the La bouche rouge Paris banner, to the
exclusion of any other documents pecific to the e-commerce site or other
marketing channels.

Any sales contract between the Customer and BBGF  made in a La bouche rouge Paris store, is governed by these T&Cs, which the Customer
acknowledges and accepts, without the sales contract being conditioned by a
handwritten signature on the part of the Customer.

ARTICLE 2. BUYING IN LA BOUCHE ROUGE PARIS STORE

The Products offered for sale are those that are available in the Store or in stock on the day of the Customer's visit, within the limit of available stocks.

The Products are presented to consumers and the staff in the Store provide any additional information and a
complete description of their essential characteristics.

The Customer is also offered the possibility of reserving their product online and collecting it in store within
the availability periods indicated to them. In these cases, the general terms
and conditions of sale of the e-commerce site https://laboucherougeparis.com  which can be consulted online at any time and
specific to distance selling, remain applicable between the Parties.

ARTICLE 3. PRODUCT INFORMATION

In its pop-up store La bouche rouge
Paris, products from luxury brands and top quality are exclusively on sale.
These products are purchased directly by BBGF from French suppliers based in
France selected for their rigorous quality controls or manufactured directly by
the brand in its laboratories based in France.

-BBGF does not sell second-hand,
defective or substandard products on the market.

The price of the Products is firm.
The current tariff is the one indicated on the products themselves. These
prices take into account the VAT applicable on the day of the order. Any
packaging and delivery costs may be charged in addition and, in this case, they
will be specified to the Customer during the purchase process. Their amount is
then fixed and flat-rate.

BBGF reserves the right, which the
Customer accepts, to modify its prices at any time, without any other formality
than to make the changes on the product labels. However, these changes will not
affect purchases already made, subject to the availability of the Products
ordered.

All products are provided with an
identification label.

In the event of a return, as
indicated in section 5 below, it is imperative that the label has not been
removed and the products unopened.

In the event of an exercise of the
will to obtain an exchange, BBGF may refuse to take back any product that has
been stripped of its label, altered in its essential or qualitative
characteristics or that has been damaged.

ARTICLE 4. PAYMENTS

For the payment of the price of the
products and any associated services, the Boutique staff will assist the
Customer with all the useful information. Only cash or credit card payments are
accepted. Payment by cheque is not accepted.

In the case of payment by
credit/debit card, the financial information (e.g. credit/debit card number or
due date) will be transferred by means of an encrypted protocol, providing the
services related to remote electronic payment, without third parties being able
to access them in any way. Such information will never be used byBBGF, except
to complete the procedures related to your purchase or to issue refunds in the
event of possible return of the products following the right of cancellation or
if it is necessary to prevent or report to the police the occurrence of fraud.
Under no circumstances does BBGF store your bank details. Transmissions to
banks are encrypted and secure.

When the order is placed via the
e-commerce site, the Customer may be asked to connect via a security link in
order to proceed with the payment. The data is transmitted directly to the
banking service provider of BBGF which is in no way the recipient of the
Customer's payment data. The general terms and conditions of sale of the
e-commerce site https://laboucherougeparis.com apply. Payment can be made in whole or in
part with a Gift Card. The La bouche rouge Paris gift card is valid for 1 year
from the date of purchase, on the online sales site https://laboucherougeparis.com excluding department stores. Can
be used in one or more times up to its amount. Can be supplemented with another payment method. Cannot give rise to any change. Cannot be used for gift card purchases. It cannot give rise to any exchange or refund, even partial, in particular in the event of loss, theft or deterioration or the end of validity.

The Customer is invited to keep his
receipt or invoice from the store.

ARTICLE 5. EXCHANGES AND RETURNS

Boutique purchase: exchange possible for a period of 30 days (from the delivery of the products to the La bouche rouge Paris boutique in the country of origin, in the case of distance selling (excluding department stores). A refund will be issued if the exchange is not possible. Exception: during the SALE period, no credit notes or exchanges are possible.

You can contact our Customer Service for assistance or details regarding this procedure and/or for any useful information.

Personalised products (embroidery,
engraving, gilding, etc.) will not be returned or exchanged.

ARTICLE 6. PRODUCT WARRANTY

The Client benefits from the guarantee of conformity under articles L217-4 et seq. of the Consumer Code as well as the legal guarantee against hidden defects on the products, under the conditions of articles 1641 to 1649 of the Civil Code.

This means that all La bouche rouge
Paris products are covered by the legal warranty against hidden defects and
that in the event of a defect not initially apparent on a product or defect that appears in normal conditions of use, BBGF undertakes to take back and
exchange or repair the product and offer an exchange or a credit note as the
case may be.

Unless there is an express exception relating to specific products, BBGF does not grant any commercial guarantee within the meaning of Article L.217-21 of the French Consumer Code.

ARTICLE 7. PERSONAL INFORMATION

The Customer may be required to
register in the customer file of La bouche rouge Paris and fill in the personal information collected about him/her. This information is strictly confidential.
In accordance with the law n°78-17 of 6 January 1978 relating to information
technology, files and freedoms, the processing of personal information
collected on the Site has been declared to the Commission Nationale de l'Informatique et des Libertés. The Client has the right to access, modify,
rectify and delete data concerning him/her. To exercise this right, the Client
must send an e-mail to contact@laboucherougeparis.com

If the Customer is registered in the La bouche rouge Paris customer file, he or she may receive e-mails providing information on La bouche rouge Paris Products and activities. The Client retains the right to refuse such communication, either - by not giving
his consent at the time of creating his client account, or, at any time in the
management pages of this account, or by clicking on the unsubscribe link of an
information email, or, by sending an e-mail to contact@laboucherougeparis.com

ARTICLE 8. INTELLECTUAL PROPERTY

The intellectual property rights attached to the Products sold by BBGF are and remain its exclusive property.
All exploitation rights are reserved exclusively to him. Under these conditions, no one is authorized to reproduce, exploit, distribute or use for
any reason whatsoever, even partially, the intellectual property rights,
without the prior written consent of BBGF. The trademarks and logos of La
bouche rouge Paris are registered trademarks. Any reproduction therefore
constitutes an infringement.

ARTICLE 9. MISCELLANEOUS PROVISIONS

Ownership of the Products shall not
transfer to the Client until the latter has paid the price in full. The risks
concerning the Products delivered (in particular of loss, theft or damage) are
nevertheless assumed by the Client as soon as the products are handed over by
the sales staff.

BBGF cannot be held liable for the
total or partial non-performance of its obligations, if it is due to the
occurrence of an event of force majeure, having an unforeseeable, irrepressible
and external nature for La bouche rouge Paris, as recognized by the case law of
the French courts, making the performance of the sales contract impossible. In
this case, BBGF will inform the Client and propose one or more alternative
solutions. The occurrence of such an event constitutes a cause for suspension
and/or extinction of BBGF' obligations towards the Client, without compensation
to the Client.

BBGF archives orders and payment
receipts on a reliable and durable medium constituting a faithful copy, in
accordance with the legislation in force.

The computerized registers of BBGF are
considered by the Parties as proof of communications, orders, payments and
transactions between them. The Client agrees that all correspondence,
communications or transmission of information between them by electronic means
shall be presumed to have the same probative value as a written document in
paper form.

If one of the provisions of these
T&Cs proves to be void with regard to a rule of law in force or a judicial
decision that has become final, it will then be deemed unwritten, without
resulting in the nullity of the contract or altering the validity of its other
stipulations.

ARTICLE 10. GOVERNING LAW – COMPLAINTS

The sale of La bouche rouge Paris
products in Boutiques and these T&Cs are governed by French law.

In the event of a question or complaint, the Customer may first contact the Customer Service of BBGF by email using the contact details indicated in the FAQs or by post to the head office of the company BBGF at 1O rue de la Paix, 75002 Paris email address contact(@)laboucherougeparis.com  and telephone number

Failing any amicable settlement,
the Customer may choose :-

to have recourse to an amicable mediation solution within a maximum period of one (1) year from the date of the written complaint made by the Customer to BBGF ;

BBGF's mediator, accessible by post addressed to Médiation de la consommation AME Conso 197 Boulevard Saint-Germain, 75007 Paris by completing the form made available to you on the site accompanied by the documents supporting your request.

The AME Consumer Ombudsman will
acknowledge receipt of your complaint and the appointed member of the Ombudsman will have a period of three weeks in which to rule firstly on the admissibility
of your request. He or she will have three months to complete his or her
mission, unless this period is extended in the case of complex cases; the Online Dispute Resolution Platform. In accordance with Article 14 of Regulation (EU) No. 524/2013, the European Commission has set up an Online Dispute Resolution platform to facilitate the independent out-of-court settlement of online disputes between consumers and professionals in the European Union. This platform can be accessed at the following link: https://webgate.ec.europa.eu/odr/,
it being specified that the proposed mediation process shall not be a prerequisite for the Customer to refer the matter to the competent courts.

Failing this, the competent courts
are those within the jurisdiction ofthe Client's place of residence.
